Terms of Service

1. Acceptance of Terms

By accessing or using TrueNOI (“the Service”), operated by Lucky Duck Group, LLC (“Lucky Duck Group,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

TrueNOI is an information platform that provides automated analysis tools for real estate syndication documents, offering memoranda, private placement memoranda, and related materials. The Service includes:

• Deal Grader — automated structural analysis of uploaded offering documents
• Deal Review and Deep Dive — analyst-assisted review services
• Capital Call Triage — second-opinion analysis for LP investors facing capital calls
• LP analyzer tools, Monte Carlo simulations, and benchmark comparisons
• GP underwriting tools (invite-only, internal use)

3. Not Investment Advice

Grades, scores, analyses, and reports produced by the Service reflect structural patterns identified in uploaded documents based on automated rubrics. They do not represent a comprehensive due diligence review and do not account for all material factors relevant to any investment decision.

TrueNOI does not facilitate securities transactions, act as a broker-dealer, investment advisor, or placement agent, and is not registered with the Securities and Exchange Commission or any state securities regulator. All investment decisions should be made in consultation with qualified financial, legal, and tax advisors.

4. Document Upload and Analysis

When you upload a document to TrueNOI for analysis:

• You represent that you have the right to share the document for analysis purposes.
• You grant Lucky Duck Group a limited license to process the document solely to provide the requested analysis.
• Uploaded documents are stored securely and deleted after 90 days. The “document_deleted_at” timestamp is set when deletion occurs. Report summaries and anonymized analysis data may be retained for service improvement purposes.
• You acknowledge that automated analysis may contain errors, omissions, or misinterpretations of document content.

5. Free Tier and Quota

The Deal Grader free tier permits one scan per email address per 365-day period. Attempting to circumvent this limit by using multiple email addresses or other methods is prohibited. We reserve the right to block accounts or email addresses that abuse the free tier.

6. Paid Services

Paid services including Deal Review, Deep Dive, Capital Call Triage, and subscription plans are subject to the following terms:

• Payment is processed through Stripe. By purchasing, you agree to Stripe’s Terms of Service.
• Subscription plans include a 7-day free trial. Trials auto-convert to paid subscriptions unless cancelled before the trial ends.
• Analyst-assisted reviews (Deal Review, Deep Dive, Capital Call Triage) are delivered within the stated timeframe (typically 48–72 hours). Delivery times are estimates, not guarantees.
• Refunds are available within 48 hours of purchase if analysis has not yet been delivered. Once analysis is delivered, all sales are final.
• Lucky Duck Group reserves the right to decline any engagement at its discretion.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Upload documents containing malware, viruses, or other harmful code
• Attempt to reverse-engineer, scrape, or systematically extract data from the Service
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service to facilitate securities fraud or mislead investors
• Resell, sublicense, or commercially exploit the Service or its outputs without written permission

8. Intellectual Property

The Service, including its software, algorithms, rubrics, scoring methodologies, and content, is the intellectual property of Lucky Duck Group and is protected by copyright, trade secret, and other applicable laws. Reports generated for your uploaded documents are licensed to you for personal use only. You may not redistribute, publish, or resell reports without written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. LUCKY DUCK GROUP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUCKY DUCK GROUP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF LUCKY DUCK GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL LUCKY DUCK GROUP’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO LUCKY DUCK GROUP IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Lucky Duck Group and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Modifications to Terms

Lucky Duck Group reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Lee County, Florida, under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
